These Terms of Use ("Terms") govern your use of our "Dualite Figma Plugin” (the "Platform") made available by Dualite Technology Pvt. Ltd. ("Dualite", "Company", "we", "us" and "our"), a private company established under the laws of India having its registered office E-65, Shastri Nagar, Jodhpur, Rajasthan 342003. The terms "you" and "your" refer to the user of the Platform.

The Dualite Figma Plugin is a software application developed by an individual or entity, to extend the functionality and features of the Figma design and prototyping platform(“Figma Tool”), a software entity owned by Figma, Inc., headquartered at 760 Market Street, San Francisco. It operates within the Figma environment, interacting with Figma files, components, and design assets to enhance, automate, or augment various design and collaboration processes. The Dualite Figma Plugin is designed to facilitate tasks such as design workflow optimization, data import/export, collaboration enhancements, and other related functions within the Figma Tool. It is made available to Figma users through the Figma Plugins ecosystem, subject to Figma's terms of service, policies, and guidelines.

The Dualite Figma Plugin is referred to as the "Platform". References to "we", "our" or "us" or the "Company" shall mean the Platform and/or Dualite Technology Private Limited, which has its registered office at E-65 Shastri Nagar, Jodhpur.

Our Services (as we have described below in detail) and these Terms are compliant with the applicable law in India, including but not limited to, the Indian Penal Code, 1860, and Information Technology Act, 2000, including all amendments made to it and rules framed under it. When you use our Platform, you accept and agree to these Terms. However, please note that we do not represent that we are compliant with the laws of any country apart from India. If you wish to use our Services, please ensure that you are permitted to do so, in your jurisdiction.

You are required to follow certain rules while you use our Platform. We have listed these rules in this document. Please read these Terms and all other hyperlinks mentioned here carefully. Please note that by using our Platform, you agree to these Terms. Also, if you are using these services outside India, please comply with your local laws.

These are the Terms of Use governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service. By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Our Services
2.1
Our Platform acts as a way for you to convert your UI designs into code by our Figma plugin. Our Platform lets users of the Platform upload or post or otherwise make available content through the Platform including, without limitation, any photographs, user videos, sound recordings and the musical works embodied therein. We understand your preferred content and personalize your newsfeed to show you posts, pictures, videos, and suggest content available on our Platform ("Service/Services").

We agree to provide you with our Services. The Services include all of Dualite’s products, features, applications, services, technologies, and software that we provide to you.
3.
Who may use our services
3.1
You may use our Services only if you are capable of forming a binding agreement with us and are legally permitted to use our Services. If you are accepting these Terms on behalf of a company or any legal persons, then you represent and warrant that you have the authority to bind such entity to these Terms and effectively "you" and "your" shall refer to the company.
3.1.1
Please note that for the purposes of our Privacy Policy and our Terms, references to “you”, “your” and “yourself” refer to any natural person aged 18 years or above who is competent/capable of contracting within the meaning of the Indian Contract Act, 1872. If you are a minor over the age of 13 years and under the age of 18 years, your parent or guardian must agree to our Terms and Privacy Policy on your behalf. Please ask your parent or guardian to read these Terms and Privacy Policy with you, since they constitute an agreement between your legal guardian or parent and us, and to the extent permissible under applicable laws, enforceable against you. Any persons under the age of 18 years should seek the consent of their parents/legal guardians before providing any information about themselves and before accessing or using the Applications/Websites/Services. Anyone under 13 years of age is strictly prohibited from using our Platform.
Please ensure that you are allowed to use our services under the law.
The rights and obligations under these Terms are granted only to you and shall not be assigned to any third party without our consent. However, we are permitted to assign our rights and obligations under these Terms to others. This can happen when, for example, we enter into a merger with another company and create a new company.
3.
How to use our services
3.1
To use our Service, you simply need to run the Dualite Figma plugin application on your Figma Web or desktop application. You can login using your Figma ID. We may add other third-party services to enable registration from time to time and expand further.
4.
Service Fees and Payments
4.1
The use of certain Platform Services may be subject to payment of particular fees, as determined by Dualite in its sole discretion (“Paid Services” and “Fee(s)”, respectively). Platform will provide notice of such Fees then in effect in relation to such Paid Services. If you wish to receive or use such Paid Services, you are required to pay all applicable Fees in advance.
Platform reserves the right to change its Fees at any time, upon notice to you if such change may affect your existing subscriptions. If you received a discount or other promotional offer, Platform shall have the right to automatically and without notice renew your subscription to such Platform Service(s) at the full applicable Fee.
All Fees shall be deemed to be in Indian Rupees or United States dollar, except as specifically stated otherwise in writing by the Platform. To the extent permitted by law (and unless specified otherwise by Platform in writing), all Fees are exclusive of all taxes (including value added tax, sales tax, goods and services tax, etc.), levies or duties imposed by taxing authorities (“Taxes”), and you shall be responsible for payment of all applicable Taxes relating to your use of the Platform Services, or to any payments or purchases made by you. If Platform is obligated to collect or pay Taxes for the Fees payable by you, and whether or not such Taxes were added and collected from you for previous transactions, such Taxes may be added to the payment of any outstanding Fees and will be reflected in the Invoice for such transaction. We recommend that you verify the existence of any additional fees you may be charged by third parties in connection with the purchase of Paid Services or in connection with the renewal thereof (such as international transaction fees, currency exchange fees or fees due to banks or credit card companies). Platform is not responsible for any such additional fees or costs.
As part of registering or submitting information to receive Paid Services, you also authorize Platform (either directly or through its affiliates, subsidiaries or other third parties) to request and collect payment (or otherwise charge, refund or take any other billing actions) from our payment provider or your designated banking account, and to make any inquiries Platform or its affiliates may consider necessary to validate your designated payment account or financial information, in order to ensure prompt payment, including for the purpose of receiving updated payment details from your payment, credit card or banking account provider (e.g., updated expiry date or card number as may be provided to us by your credit card company).

Changes to terms and services

Our Platform is dynamic and may change rapidly. As such, we may change the services we provide at our discretion. We may temporarily, or permanently, stop providing Services or any features to you generally.We may remove or add functionalities to our Platform and Services without any notice. However, if we make a change where your consent is required, we will make sure to ask for it. Please be sure to keep visiting this page from time to time to stay updated on our latest changes and developments. If any of these rules or any future changes are unacceptable to you, you may discontinue visiting and using our Platform and services. Your continued use of our Services now, or following the posting of notice of any changes in these operating rules, will indicate acceptance by you of such rules, changes, or modifications.

Disclaimer
7.1
While we do everything we can to secure your use of our Services, keep in mind that we cannot contemplate all forms of attack on our Platform and unfortunately, the transmission of information via the internet is not completely secure. Hence, we cannot guarantee the security of your data or Content transmitted to the Platform – any transmission is at your own risk. You should, as a matter of practice, ensure that your computer are not used wrongly or tampered with in any way.We have implemented measures to ensure that our Platform is secure. However, there is no guarantee that our Platform is immune to hacking and virus attacks. You will ensure that you have the requisite anti-malware and antivirus software on your computer to ensure its safety. Once we have received your information, we will use strict procedures and security features to try to prevent unauthorised access.
8.
Grievance Address

In all cases, you agree that disputes will be subject to the laws of India and the courts of Jodhpur shall have exclusive jurisdiction over all such disputes. As part of our commitment to the privacy and safety of our users, we continue to work alongside the government authorities to keep our users safe. We have put together a robust Grievance Redressal Mechanism in place to help resolve any concerns or complaints raised by you with respect to Dualite.
We have a Grievance Officer to address your concerns regarding data safety, privacy, and Platform usage concerns. We will resolve the issues raised by you within 15 (fifteen) days from receiving them. Severability
9.1
If any aspect of these Terms is unenforceable, the rest will remain in effect.Any amendment or waiver to our Terms must be in writing and signed by us.If we fail to enforce any aspect of these Terms, including reporting any illegal or impermissible actions to appropriate law enforcement authorities or blocking or suspending your profile, such failure to enforce our rights will not be a waiver by us.We reserve all rights not expressly granted to you.
